Acceptance of Terms

Welcome to Kurspad.

These Terms of Service (“Terms”) govern access to and use of the Kurspad learning management platform, website, applications, software, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you are using Kurspad on behalf of a school, university, training organization, company, or other entity (“Institution”), you represent that you have authority to bind that Institution to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

About Kurspad

Kurspad is a cloud-based learning management system that enables educational institutions, educators, trainers, administrators, and learners to create, manage, deliver, and participate in educational programs and training activities.

Features may include:

• Course management
• Learning content delivery
• Assignments and assessments
• Student progress tracking
• Communication tools
• Analytics and reporting
• AI-powered learning features
• Integrations with third-party services

Features may change over time as the platform evolves.

Eligibility

Users must be authorized by an Institution or otherwise legally permitted to use the Services.

Users under the age of majority may only use Kurspad through an Institution, parent, guardian, or other authorized arrangement permitted by applicable law.

Institutional Accounts

Institutions are responsible for:

• Managing user access
• Maintaining accurate account information
• Obtaining necessary permissions and consents
• Ensuring lawful use of the Services
• Managing educational records uploaded to the platform

Institution administrators may create, suspend, modify, or remove user accounts under their organization.

User Accounts

Users are responsible for:

• Maintaining the confidentiality of login credentials
• Using strong passwords
• Promptly reporting unauthorized access
• Keeping account information accurate

Users must not share credentials with unauthorized individuals.

Kurspad may suspend accounts that present security risks or violate these Terms.

Acceptable Use

Users agree not to:

• Violate any applicable law or regulation
• Infringe intellectual property rights
• Upload malicious software or code
• Attempt unauthorized access to systems or data
• Disrupt platform operations
• Circumvent security controls
• Harass, threaten, or abuse other users
• Use the Services for fraudulent purposes
• Interfere with educational activities of others

Kurspad may investigate and take action against violations of this section.

Content Ownership

Institution Content

Institutions retain ownership of educational materials, course content, records, documents, assignments, assessments, and other content uploaded to the Services.

User Content

Users retain ownership of content they create and upload, subject to any rights granted to their Institution.

Kurspad Content

The Kurspad platform, software, designs, trademarks, branding, documentation, and related intellectual property remain the exclusive property of Kurspad and its licensors.

License to Operate the Service

Institutions and users grant Kurspad a limited, non-exclusive license to host, process, store, transmit, and display submitted content solely for the purpose of providing and improving the Services.

This license terminates when content is deleted, except where retention is required by law, contract, backup systems, or security obligations.

Student Data and Privacy

Kurspad processes personal information in accordance with its Privacy Policy and applicable data protection laws. Educational records remain under the control of the Institution, subject to applicable law.

Additional privacy obligations may be governed by separate agreements between Kurspad and the Institution.

Artificial Intelligence Features

Kurspad may provide AI-powered tools and educational assistance features.

AI-generated content may contain inaccuracies and should be independently reviewed by users and educators. Institutions remain responsible for academic decisions, grading, assessments, and educational outcomes.

Kurspad does not guarantee the accuracy, completeness, or suitability of AI-generated content.

Third-Party Integrations

Kurspad may support integrations with third-party applications, services, and platforms. Use of third-party services is governed by the terms and policies of those providers.

Kurspad is not responsible for third-party services or content.

Fees and Payments

Institutional subscriptions, licensing fees, implementation services, and other paid offerings are governed by applicable order forms, subscription agreements, quotations, invoices, or contracts.

All fees are non-refundable unless otherwise specified in writing.

Failure to pay fees may result in suspension or termination of Services.

Service Availability

Kurspad strives to maintain reliable and secure Services. However, Services are provided on an “as available” and “as is” basis.

We do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, upgrades, outages, and circumstances beyond our control may affect availability.

Suspension and Termination

Kurspad may suspend or terminate access where:

• These Terms are violated
• Fees remain unpaid
• Security risks are identified
• Required by law
• Continued access could harm the platform or its users

Institutions may terminate Services according to applicable contracts and subscription agreements.

Upon termination, access to Services may be removed and data handling will be governed by applicable agreements and retention policies.

Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express or implied.

Kurspad disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Kurspad and its affiliates, officers, employees, partners, and licensors shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Services.

Kurspad's aggregate liability under these Terms shall not exceed the total amount paid by the Institution to Kurspad during the twelve months preceding the claim.

Some jurisdictions may not permit certain limitations, and such limitations shall apply only to the extent permitted by law.

Indemnification

Institutions and users agree to defend, indemnify, and hold harmless Kurspad and its affiliates from claims, damages, liabilities, losses, and expenses arising from:

• Violation of these Terms
• Violation of applicable laws
• Infringement of third-party rights
• Content uploaded to the Services

Changes to the Services

Kurspad may modify, improve, replace, or discontinue features at any time.

Where practical, reasonable notice will be provided for material changes.

Changes to These Terms

Kurspad may update these Terms from time to time. Updated versions will be posted on the website or platform with a revised effective date.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and interpreted under the laws specified in the applicable subscription agreement or institutional contract.

Where no separate agreement exists, these Terms shall be governed by the laws of the jurisdiction in which Kurspad is incorporated.
